    What Triggers Company Liquidation?

    Insolvency (Inability to Pay Debts)

    • Insolvency is the principal trigger—persistent cash flow problems, mounting ATO debt, and unpaid employee entitlements signal a company cannot pay its debts as and when they fall due.
    • Creditors can serve a statutory demand; failure to comply is often used in court to prove insolvency and wind up the company.

    Creditor Actions (Court Liquidation)

    • Creditors (including the ATO) may initiate legal action—if the company owes >$4,000, a creditor can apply for court liquidation after serving a statutory demand left unpaid for 21 days.
    • In some situations, Company Directors, shareholders, or ASIC can also seek a court order for liquidation.

    Voluntary Director/Shareholder Resolution

    • Directors and members may vote to liquidate the company voluntarily (Creditors Voluntary Liquidation) if the business is insolvent and a formal winding up is needed.
    • Solvent companies may use Members Voluntary Liquidation to close down orderly and distribute assets if all debts can be paid in full.

    • Triggers also include persistent trading losses, high operating costs, loss of a key customer or contract, failure to adapt to market change, or legal issues that make ongoing operation unviable.
