    What is a CVL Creditors' Voluntary Liquidation?

    Creditors’ Voluntary Liquidation (CVL) is the most common type of corporate liquidation.

    It is used when a company’s directors and shareholders recognise that it is insolvent and unable to pay its debts as they fall due. In a CVL, the company voluntarily resolves to appoint an independent registered liquidator, who takes over management, realises company assets, and distributes funds to creditors in order of statutory priority.

    What is a CVL?

    • A Creditors’ Voluntary Liquidation is a legal process designed for insolvent companies—those unable to pay bills as they fall due.
    • Initiated by directors/shareholders passing a special resolution, it does not require court involvement unless contested.
    • Appoints a registered liquidator, who is independent and manages closure for the benefit of all creditors.

    Steps in the CVL Process

    Directors/shareholders agree the company is insolvent: A special meeting is held to resolve the business and appoint a liquidator.

    Liquidator takes responsibility: Creditors are notified, assets are secured, and debts are investigated and reported to ASIC.

    Asset sale and creditor payments: Liquidator sells company property and distributes funds in strict legal order—secured creditors, employees, and unsecured creditors.

    Reporting, investigation, and finalisation: The liquidator investigates the company’s collapse, reports to ASIC, and may recover assets or take legal action if wrongdoing occurred.

    Deregistration and closure: After all processes and distributions, the company is deregistered and ceases to exist.
