    The MVL Initiation Sequence: A Step-by-Step Guide

    The process for Initiating an MVL, a Members’ Voluntary Liquidation, is a carefully regulated sequence designed to ensure the company is solvent and all steps are fully documented.

    Company Directors begin by declaring solvency, the shareholders pass a special resolution, and a registered liquidator is appointed to guide the wind-down and distribution of assets to members.

    Corporate Review and Preparation

    • Directors convene to confirm all debts can be paid and prepare a solvency plan.

    Declaration of Solvency

    • Directors sign a statutory declaration that the company can pay all its debts in full within 12 months.
    • The declaration is lodged with ASIC before sending the shareholders’ meeting notice.

    Meeting of Members (Shareholders)

    • Shareholders receive notice, then resolve to wind up the company and appoint a liquidator at a general meeting (special resolution).
    • In practice, this is often done by “consent to short notice” if 95% of voting shareholders agree.

    Appointment of Liquidator

    • The nominated liquidator formally takes charge and notifies ASIC, creditors, and stakeholders.

    Notifications and Lodgements

    • Resolutions and appointments are lodged with ASIC and published on the ASIC Insolvency Notices website. The process is now fully in liquidation.
