    Main Steps in the Company Liquidation Process

    Key Stages

    • Step One: Initiation
      The company, creditors, or court decides that liquidation is necessary. This might follow ongoing insolvency, shareholder resolution, or a court order.
    • Step Two: Appointment of a Liquidator
      A liquidator is selected. This is an independent, ASIC-registered insolvency practitioner, such as a team member from the Insolvency Group. The liquidator takes control of all company assets, finances, and records.
    • Step Three: Asset Investigation and Gathering
      The liquidator investigates all company dealings, secures assets, and requests returns or reports from directors. Any “unfair” or hidden transfers are identified and recovered.
    • Step Four: Asset Realisation (sale or transfer)
      All assets are sold commercially reasonably—property, equipment, invoices, and even intellectual property.
    • Step Five: Creditor Notification and Claims
      Creditors are formally notified, claims are collected and verified, and periodic reports are sent. Creditors can attend meetings or vote on key matters.
    • Step Six: Payment of Proceeds
      Sale proceeds are distributed by strict legal priority: secured creditors first, then employees, then unsecured creditors, and lastly, any surplus to shareholders.
    • Step Seven: Finalisation and Deregistration
      When all assets are dealt with and funds distributed, the liquidator prepares final reports for ASIC and creditors. The company is deregistered and ceases to exist.
