    The Key Points to Consider During Company Liquidation

    • Not All Debts Are Paid in Full: The liquidator pays debts in strict order, such as costs, secured creditors, employee entitlements, and then unsecured debts. Most insolvent companies do not have enough asset value to clear all debts, and many creditors are left with partial payment or nothing.
    • Remaining Debts Are Written Off, Not Paid: Once the company is deregistered, all unpaid debts are written off as “bad debts”. Creditors lose the right to pursue the dead company.
    • Company Director Personal Liabilities Remain:
      • Personal guarantees, insolvent trading, ATO penalty notices, or director misconduct can result in ongoing liability for directors even after liquidation.
      • The liquidator may seek recovery from directors if they find breaches of law or duty.

    Exceptions:

    • Tax or superannuation debts involving fraud, civil penalties, or misapplied trust monies may survive and shift to directors.
    • Any personal guarantees given to banks, landlords, or trade creditors are still enforceable, but not against the deregistered company.

     

    Insolvency and company liquidation do not magically “wipe out” all business debt. Some may live on.
